1. Introduction
Welcome to the Vouch App (“Vouch” or the “App”), a product operated by Dojah Technologies Limited (“Dojah,” “we,” “our,” or “us”).
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Dojah. They govern your access to and use of the App, its features, and all related services provided through it (collectively, the “Services”).
The Vouch App is designed to help you securely store your personal identity information, undergo biometric and document-based verification, and share your verified identity data with trusted third parties at your instruction. Because the App deals with sensitive personal and biometric data, it is important that you read these Terms carefully before using the Services.
By downloading, installing, registering for, or using the Vouch App, you:
- Acknowledge that you have read and understood these Terms.
- Agree to be bound by them, as well as by our Privacy Policy, which forms an integral part of these Terms.
- Confirm that you have the legal capacity to enter into this agreement.
If you do not agree with these Terms, or if you do not wish to be bound by them, you must not download, register for, or use the Vouch App.
We may update these Terms from time to time to reflect changes in our Services, legal obligations, or business practices. When we do, we will notify you through the App, our website, or by other appropriate means. Your continued use of the App after changes take effect will signify your acceptance of the revised Terms.
2. Definitions
For the purposes of these Terms:
- “Account” means the user profile created in the App to access Services.
- “App” or “Vouch” means the Vouch mobile application, owned and operated by Dojah Technologies Limited.
- “Content” means all information, text, graphics, user interfaces, trademarks, logos, and materials available within the App.
- “Services” means the features, tools, and functionalities made available through the Vouch App, including identity verification, secure storage, and controlled sharing of personal data.
- “Third Parties” means regulated institutions, service providers, or other entities to which you authorise data sharing through the App.
- “Trust Badge” means a visual indicator or status assigned to a Vendor based on verification checks and internal scoring criteria.
- “User,” “you,” or “your” means any individual who accesses or uses the App.
- “Vendor” means any individual, informal seller, SME, or business entity that registers, verifies, or maintains a business profile under the Vouch for Vendors module.
- “Vendor Account” means a business-facing account created for the purpose of vendor verification, listing, and trust badge assignment.
- “Vendor Directory” means the customer-facing directory where verified Vendors may be displayed.
3. Eligibility & Account Registration
3.1 Eligibility
- You must be at least 18 years old to use the Vouch App.
- By creating an account, you confirm that you meet this eligibility requirement and that you have the legal capacity to enter into these Terms.
3.2 Account Creation
- To access certain features of the App, you must create a user account (“Account”).
- You agree to provide accurate, complete, and up-to-date information during registration and to keep such information current at all times.
- You are responsible for maintaining the confidentiality of your login credentials (PINs, passwords, device biometrics) and for all activities carried out under your Account.
3.3 User Responsibility
- You must notify us immediately at compliance@dojah.io if you believe your Account has been compromised.
- Dojah will not be liable for any loss or damage arising from your failure to safeguard your login credentials.
4. Description of Services
4.1 Scope of Services
The Vouch App provides digital identity services, including:
- Secure storage of your personal identity information.
- Biometric and document-based verification services.
- The ability to share verified identity data with third parties (such as banks, fintechs, or telecom operators) at your instruction.
4.2 Limitations of Services
- Dojah provides the App as a platform to facilitate identity verification and controlled data sharing. We do not provide financial, legal, or regulatory approval services.
- Verification results generated by the App (such as pass/fail outcomes) are provided to third parties as-is. Dojah does not guarantee that such results will be accepted by third parties or that they are sufficient for their compliance requirements.
- Third parties remain solely responsible for their own decisions, policies, and compliance obligations. Dojah shall not be held liable for any outcome, denial of service, or loss suffered as a result of a third party’s reliance on or rejection of verification data.
- The App is provided on an “as is” and “as available” basis. While we take reasonable steps to ensure reliability, we do not warrant that the App will always be uninterrupted, timely, secure, or error-free.
4.3 No Unlawful Use
The Services may only be used for lawful purposes. You agree not to use the App in any way that violates applicable laws or regulations.
5. User Obligations
5.1 Accuracy of Information
You agree to provide accurate, complete, and truthful information when creating your Account and whenever you use the App. You are solely responsible for ensuring that the personal data and documents you upload are genuine, up to date, and lawfully obtained.
5.2 Lawful Use
You agree to use the App and Services only for lawful purposes and in accordance with these Terms. You shall not use the App to:
- Engage in identity fraud, misrepresentation, or any other unlawful activity.
- Upload or submit any false, misleading, or fraudulent information.
- Circumvent or interfere with security features of the App.
- Infringe on the rights of others, including intellectual property and privacy rights.
5.3 Account Security
You are responsible for safeguarding your Account credentials (including passwords, PINs, and device biometrics) and for any activity carried out through your Account. You must notify us immediately at compliance@dojah.io if you suspect unauthorised use or a security breach.
5.4 Prohibited Behaviour
You shall not:
- Decompile, reverse engineer, or attempt to derive the source code of the App.
- Use automated tools (such as bots, scrapers, or scripts) to access or interact with the App.
- Introduce viruses, malware, or any harmful code.
- Use the App in any manner that could disable, damage, or impair its functioning.
Failure to comply with these obligations may result in suspension or termination of your Account, and may also expose you to civil or criminal liability.
6. Intellectual Property Rights
6.1 Ownership of Intellectual Property
The Vouch App, including all software, source code, databases, features, designs, user interfaces, logos, trademarks, and other content, is the exclusive property of Dojah Technologies Limited and its licensors. All rights are reserved.
6.2 User Licence
Subject to compliance with these Terms, Dojah grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Vouch App solely for your personal, non-commercial use.
6.3 Restrictions
You may not:
- Copy, modify, or create derivative works based on the App or its content.
- Rent, lease, sell, sublicense, or distribute the App to third parties.
- Use the App for any commercial purpose without Dojah’s prior written consent.
6.4 Trademarks
“Dojah,” “Vouch,” and all related logos and marks are trademarks of Dojah Technologies Limited. You may not use these marks without our prior written consent.
6.5 Reservation of Rights
No part of these Terms or your use of the App grants you ownership rights in the App or its intellectual property. All rights not expressly granted are reserved by Dojah.
7. Data Protection & Privacy
7.1 Commitment to Privacy
Your privacy is very important to us. The collection, use, and disclosure of your personal data through the Vouch App is governed by our Privacy Policy, which forms an integral part of these Terms.
7.2 Acknowledgement
By using the App, you acknowledge that you have read, understood, and agree to the terms of the Privacy Policy, including how we process your personal and biometric data.
7.3 Data Sharing with Third Parties
You acknowledge that the App allows you to share verified identity data with third parties of your choice. Dojah is not responsible for the privacy practices of such third parties, and you are encouraged to review their privacy policies before authorising data sharing.
8. Prohibited Conduct
You agree not to use the App or Services in any manner that is unlawful or prohibited by these Terms. In particular, you must not:
- Use the App to engage in fraud, identity theft, money laundering, or any other illegal activity.
- Submit forged, altered, or stolen identity documents.
- Attempt to gain unauthorised access to the App, servers, or related networks.
- Interfere with or disrupt the operation of the App, including by transmitting viruses, malware, or harmful code.
- Use automated scripts, bots, or scrapers to interact with the App.
- Reproduce, duplicate, copy, sell, or exploit any part of the App for commercial purposes without prior written consent.
- Misuse the App in a way that could damage Dojah’s reputation or the integrity of its verification processes.
Violation of this section may result in suspension or termination of your Account, reporting to relevant authorities, and legal action.
9. Disclaimers
9.1 Service “As Is”
The App and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Dojah disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.
9.2 No Guarantee of Acceptance
Verification results generated by the App (such as pass/fail outcomes) are provided to third parties at your instruction. Dojah does not guarantee that third parties will accept these results, nor do we assume responsibility for their decisions, policies, or actions.
9.3 No Continuous Availability
While Dojah takes reasonable steps to maintain the App’s availability and security, we do not warrant that the App will always be uninterrupted, timely, secure, or error-free. Downtime, delays, or errors may occur due to maintenance, upgrades, system failures, or factors beyond our control.
9.4 Third-Party Services
The App may integrate with or provide access to third-party services. These services are not under Dojah’s control, and we are not responsible for their content, availability, or practices.
10. Limitation of Liability
10.1 Exclusion of Liability
To the fullest extent permitted by law, Dojah, its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to your use of, or inability to use, the App or Services.
10.2 Scope of Limitation
Without limiting the generality of the above, Dojah shall not be liable for:
- The actions, omissions, or decisions of third parties (such as banks, fintechs, or telecom operators) who receive or rely on your verification results.
- Loss of profits, business, goodwill, or reputation.
- Errors, delays, or interruptions in the availability of the App.
- Unauthorised access to or alteration of your data beyond our reasonable control.
- Any viruses, malware, or harmful code transmitted by third parties.
10.3 Liability Cap
In jurisdictions where limitations on liability are permitted, Dojah’s total cumulative liability to you for all claims arising under these Terms shall not exceed the amount you have paid (if any) to use the App in the twelve (12) months preceding the claim.
11. Fees and Charges
11.1 Fees for Use of the App
Certain features or services available through the Vouch App may be subject to fees (“Fees”). By accessing or using any paid feature or service, you agree to pay all applicable Fees as disclosed to you at the point of use, subscription, or transaction.
Fees may include, without limitation:
- Charges for identity verification, biometric verification, or document verification services;
- Subscription fees for premium features or enhanced services;
- Transaction-based fees where identity data is shared with third parties at your request.
All Fees are displayed within the App or communicated to you before you incur any charge. Unless otherwise stated, Fees are non-refundable once the relevant service has been provided.
11.2 Billing and Payment
You authorise Dojah Technologies Limited to charge your selected payment method for all applicable Fees. You are responsible for ensuring that your payment information is accurate, current, and authorised for use.
Failure to pay applicable Fees may result in suspension or restriction of access to paid features or Services.
11.3 Changes to Fees
Dojah reserves the right to modify, introduce, or discontinue Fees for any part of the App or Services. Where changes affect existing paid services or subscriptions, reasonable notice will be provided through the App or by other appropriate means. Continued use of the paid Services after such notice constitutes acceptance of the revised Fees.
11.4 Taxes
All Fees are exclusive of applicable taxes, levies, or duties, unless expressly stated otherwise. You are responsible for any taxes arising from your use of the Services, except where required by law to be collected or remitted by Dojah.
12. Indemnity
12.1 Your Obligation to Indemnify
You agree to indemnify, defend, and hold harmless Dojah, its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:
- Your breach of these Terms.
- Your use or misuse of the App or Services.
- Your violation of any applicable law or regulation.
- Any content, data, or materials you submit through the App.
12.2 Cooperation
Dojah reserves the right to assume exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate with us in asserting any available defences.
13. Third-Party Services
13.1 Integration with Third Parties
The App may enable you to connect to or interact with third-party services (e.g., banks, fintechs, or verification providers). These services are not operated by Dojah.
13.2 No Responsibility
Dojah does not endorse, control, or assume responsibility for any third-party services, their availability, or their practices. Your use of third-party services is at your own risk and subject to their terms and conditions.
13.3 User Responsibility
Before authorising the sharing of your data with a third party, you should carefully review their privacy policy, terms of service, and compliance obligations. Dojah is not liable for any consequences resulting from your engagement with third parties through the App.
14. Termination
14.1 By You
You may terminate your use of the App at any time by closing your Account. Upon closure, we will delete or anonymise your personal data in accordance with our Privacy Policy, unless retention is required by law.
14.2 By Dojah
We may suspend or terminate your Account or restrict your access to the App immediately, with or without notice, if:
- You breach these Terms or our Privacy Policy.
- We suspect fraudulent, unlawful, or abusive use of the App.
- Required by law, regulation, or directive from a competent authority.
- Technical or security issues threaten the integrity of the App.
14.3 Effect of Termination
Termination of your Account will result in the loss of access to Services and deletion of stored data (subject to lawful retention obligations). Certain provisions of these Terms, including intellectual property, disclaimers, limitation of liability, and indemnity, shall survive termination.
15. Governing Law & Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including applicable data protection and consumer protection laws.
15.2 Dispute Resolution
In the event of a dispute, you agree to first attempt to resolve the matter informally by contacting us at compliance@dojah.io.
- If the dispute cannot be resolved informally within thirty (30) days, either party may refer the dispute to mediation or arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, or as otherwise agreed.
- If arbitration is not pursued, disputes shall be subject to the exclusive jurisdiction of the Nigerian courts.
16. Changes to Terms
16.1 Right to Modify
We may update or modify these Terms from time to time to reflect changes in our Services, business practices, or legal obligations.
16.2 Notice of Changes
When changes are made, we will notify you through the App, by email, or by posting the updated Terms on our website.
16.3 Acceptance of Changes
Your continued use of the App after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the App and close your Account.

Sections 18 to 20 apply only to users who register or operate as Vendors under the Vouch for Vendors module.
18. Vouch for Vendors
18.1 Overview
Vouch for Vendors is a business-facing module of the Vouch App that enables vendors, merchants, and businesses to verify their identity and business information, obtain a trust badge, and (where consented) be listed in a customer-facing vendor directory.
18.2 Vendor Eligibility
To use Vouch for Vendors:
- Vendors must be at least 18 years old or lawfully registered businesses.
- Vendors must provide accurate and verifiable identity and business information.
- Dojah reserves the right to refuse, suspend, or revoke vendor access where verification fails or risks are identified.
18.3 Public Listing
- Vendors may opt in to being listed in the Vendor Directory.
- Listing is not automatic.
- Public listing requires explicit consent.
- Dojah does not guarantee visibility, ranking, or customer engagement.
- Certain features such as customer ratings and reviews may be introduced in the future. Where such features materially affect user rights or obligations, these Terms will be updated accordingly, and notice will be provided.
19. Vendor Obligations and Trust Badge Use
19.1 Accuracy and Ongoing Obligations
Vendors agree that:
- All information submitted is accurate, current, and lawfully obtained.
- Business details will be updated promptly if they change.
- Uploaded documents belong to the vendor or are submitted with proper authority.
19.2 Trust Badge Limitations
The Trust Badge:
- Indicates verification status at a point in time.
- Does not guarantee service quality, legitimacy, or future conduct.
- Must not be misrepresented as regulatory approval or endorsement.
Vendors must not: Use the badge outside permitted contexts; alter or falsify badge imagery; claim guarantees based on badge status.
19.3 Prohibited Vendor Conduct
Vendors shall not:
- Impersonate another business or individual;
- Submit fraudulent or misleading documents;
- Engage in scams, deceptive practices, or illegal trade;
- Abuse customers or misuse the platform.
20. Vendor Suspension, Removal & Dispute Handling
20.1 Suspension or Revocation
Dojah may suspend or revoke a Vendor Account or Trust Badge if:
- Fraud, impersonation, or deception is detected;
- Verification documents expire or become invalid;
- There is a high volume of unresolved complaints;
- The vendor breaches these Terms or applicable law.
20.2 Reporting & Investigations
Customers may report vendors through the App. Reports are reviewed using internal triage and investigation procedures. Vendors may be required to submit evidence or clarification.
20.3 Dispute Resolution
Vendors may dispute actions taken against their account. Disputes must be submitted through the App or designated channels. Dojah’s decision following investigation is final, subject to applicable law.
20.4 Limitation of Liability (Vendors)
Dojah does not:
- Guarantee vendor success, customer trust, or commercial outcomes;
- Assume liability for vendor-customer transactions;
- Act as an agent, intermediary, or guarantor between vendors and customers.
